1. DEFINITIONS

Plink: The service platform operated by [Insert Company Legal Name], providing ticketing solutions.

Organizer: A person, company, or other legal entity that uses Plink to create and manage events, and to sell or distribute tickets.

Attendee: An individual who purchases or receives a ticket for an event through the Plink platform.

Event: Any activity, gathering, show, seminar, or occurrence for which an Organizer sells or distributes tickets using Plink.

Internal Account: A separate, virtual account maintained by Plink on behalf of the Organizer, into which ticket sales revenue is received and temporarily held.

Fee: The service fee Plink deducts from the ticket sales revenue. This is applied to Organizers only.


2. ACCEPTANCE OF TERMS

By creating an account or using any services offered by Plink, you affirm that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not accept these terms, you may not use the platform.

Organizers accept this Agreement upon account creation and event publication. Attendees accept it upon completion of a ticket purchase.


3. PLINK'S ROLE

Plink acts as a technical intermediary between Organizers and Attendees. Plink provides tools for event setup, ticket sales, and payment processing. Plink is not the Organizer of any events and does not assume responsibility for their conduct or legality.


4. ORGANIZER TERMS

4.1 Account Creation

Organizers must provide accurate and complete registration information. Misrepresentation or incomplete details may result in account suspension or termination.

4.2 Event Management

Organizers control all aspects of their events including:

  • Event description and category

  • Ticket price, quantity, and availability

  • Event date, time, and location

  • Refund and cancellation policies

Organizers are solely responsible for the accuracy and legality of event information.

4.3 Internal Account and Fund Handling

When an Attendee purchases a ticket, the payment is credited to an Internal Account created and held by Plink on behalf of the Organizer. Each Organizer agrees and authorizes Plink to:

  • Create and maintain this Internal Account

  • Receive and hold funds on the Organizer's behalf

  • Deduct applicable Fees

  • Disburse net funds to the Organizer after the event

4.4 Fees and Deductions

  • Plink applies a service Fee to each ticket sold.

  • This Fee is deducted from the Organizer’s Internal Account balance after each sale or upon final payout.

  • Fees are disclosed prior to event creation.

  • No Fees are charged to Attendees in accordance with applicable Tunisian consumer law.

4.5 Payouts

  • Funds are disbursed to the Organizer's designated bank account after event conclusion.

  • Typical processing time is up to 7 business days post-event.

  • Plink may withhold funds in case of disputes, chargebacks, or refund requests.

4.6 Refunds and Cancellations

  • Organizers may cancel an event and request refunds through Plink.

  • Refunds are issued only from the Organizer’s Internal Account.

  • If funds are insufficient, the Organizer must provide the balance.

  • Refunds must be processed within 30 days of event cancellation or modification.

  • Plink retains Fees on refunded transactions.

4.7 Compliance and Legal Obligations

Organizers are fully responsible for:

  • Obtaining all permits, licenses, and insurances

  • Ensuring venue safety and legal compliance

  • Reporting and remitting taxes, including VAT if applicable

  • Complying with Tunisian consumer and commercial laws


5. ATTENDEE TERMS

5.1 Ticket Purchase

Attendees purchase tickets directly via the Plink platform. The displayed price is the final amount charged — no additional platform fees are added, per Tunisian law.

5.2 Ticket Validity

  • Tickets are issued electronically.

  • Each ticket has a unique QR code or barcode.

  • Tickets may be non-transferable unless stated otherwise by the Organizer.

  • Plink and the Organizer reserve the right to verify identification at event entry.

5.3 Refunds and Cancellations

  • Refunds are only possible in cases of event cancellation or significant modification.

  • Attendees must contact the Organizer directly for refund eligibility.

  • Refunds will be processed via Plink only upon Organizer instruction.


6. INTELLECTUAL PROPERTY

All content on the Plink platform, including code, designs, logos, trademarks, and documents, is the intellectual property of Plink or its licensors. Organizers grant Plink a non-exclusive license to use and display event-related content (text, images, branding) for promotional or operational purposes.

Organizers must ensure that all uploaded content respects third-party IP rights.


7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Plink disclaims all warranties related to the platform or events hosted through it.

  • Plink is not responsible for event execution, safety, legality, or attendee satisfaction.

  • Plink’s total liability is limited to the amount of service Fees earned from the Organizer in the previous 90 days.


8. TERMINATION

Plink may suspend or terminate access to the platform if:

  • Users breach this Agreement

  • Fraudulent activity is suspected

  • Legal obligations require account closure

Termination does not release the Organizer from obligations to fulfill pending refunds or obligations.


9. TAXES AND REGULATORY COMPLIANCE

Organizers are solely responsible for calculating, collecting, reporting, and remitting any taxes (e.g., VAT, income tax) resulting from their event ticket sales. Plink does not provide tax advice or withhold taxes on behalf of Organizers.


10. DATA PRIVACY

Plink collects and processes user data in accordance with its Privacy Policy. Organizers must only use Attendee data for purposes directly related to the event and in compliance with applicable data protection laws.

Attendees’ personal data will not be sold or shared with third parties except as required for ticket processing or legal compliance.


11. MODIFICATIONS TO THE AGREEMENT

Plink reserves the right to update this Agreement. Changes become effective immediately upon posting. Users will be notified of major changes via email or platform alerts. Continued use of the platform constitutes acceptance of the revised terms.


12. GOVERNING LAW AND DISPUTES

This Agreement is governed by the laws of the Republic of Tunisia. Any dispute arising out of or in connection with the use of Plink shall be resolved by the competent courts of Tunisia.
